1. Scope
This policy explains how to notify Harbor Software LLC, which operates Flowboard, of material stored in Flowboard that you believe infringes your copyright, how the account that supplied the material can respond, and how we handle repeat infringers. It expands on section 4.5 of the Terms of Service, and nothing in it limits that section.
Flowboard stores content at the direction of its users. Customers, their team members and their client users put files, proofs, documents, messages and other material into workspaces, and some of it can be shared through the client portal, public forms and proposal pages. This policy applies to that material. It is intended to follow the notice and counter-notice procedure of the Digital Millennium Copyright Act, 17 U.S.C. section 512.
2. Before you send a notice
Consider whether the use may be authorized by a license or permitted by law, for example as fair use, before you send a notice. If the material sits in a workspace run by an agency you work with, contacting that agency directly may resolve the matter faster. A notice under this policy covers copyright only. Report a trademark or other intellectual property concern to legal@flowboardhq.com, as section 11 of the Terms of Service provides, with enough detail to identify the material and the right you are asserting.
3. How to send a notice of claimed infringement
Send a written notice to our designated agent at the address in section 4. The notice must include all of the following:
- Your physical or electronic signature, as the copyright owner or a person authorized to act on the owner's behalf.
- Identification of the copyrighted work claimed to be infringed or, if a single notice covers several works at one location, a representative list of those works.
- Identification of the material claimed to be infringing, with enough information for us to locate it, such as the address of the shared page, portal or form where you saw it, the file name, and any project or workspace name you know.
- Your postal address, telephone number and email address.
- A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent or the law.
- A statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on the owner's behalf.
If a notice identifies the work, identifies and locates the material, and gives your contact details, but omits another element, we will try to contact you to complete it. A notice that does not substantially meet these requirements may not be acted on.
4. Designated agent
Copyright Agent, Harbor Software LLC
1309 Coffeen Avenue, STE 1200
Sheridan, Wyoming 82801, USA
legal@flowboardhq.com
Email is the fastest route. Put "Copyright notice" or "Counter-notification" in the subject line so that the message reaches the designated agent. For account and billing questions, email support@flowboardhq.com instead.
5. What happens after we receive a notice
When we receive a complete notice, we will remove or disable access to the material it identifies and notify the account that supplied it, as section 4.5 of the Terms of Service provides. We normally notify the Owner of the workspace concerned. We may send that account a copy of the notice, including your name and contact details, so that it can respond or contact you directly.
6. Counter-notification
If material you supplied was removed or disabled and you believe this happened because of a mistake or a misidentification of the material, you may send a counter-notification to the designated agent. It must include all of the following:
- Your physical or electronic signature.
- Identification of the material that was removed or disabled, and the location where it appeared before that happened.
- A statement, made under penalty of perjury, that you have a good-faith belief that the material was removed or disabled as a result of a mistake or a misidentification of the material.
- Your name, address and telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located or, if your address is outside the United States, any judicial district in which Harbor Software LLC may be found, and that you will accept service of process from the person who sent the original notice or that person's agent.
When we receive a complete counter-notification, we will send a copy to the person who sent the original notice, including your name and contact details, and tell them that we may restore the material. If we restore it, we will do so no sooner than 10 and no later than 14 business days after we receive the counter-notification, unless our designated agent first receives notice from the complaining party that it has filed an action seeking a court order to restrain the use.
7. Repeat infringers
We terminate the accounts of repeat infringers. An account that is the subject of repeated valid notices of claimed infringement will be terminated under section 6.3 of the Terms of Service, whether or not any single notice is contested. A notice that is withdrawn, or that a court finds invalid, does not count. The Customer is responsible for use of the Service by its team members and client users, as section 1 of the Acceptable Use Policy states, so notices about material any of them supplied count toward the Customer's account. Termination for repeat infringement does not entitle the Customer to a refund, under section 5.4 of the Terms of Service.
8. Misrepresentation
Under 17 U.S.C. section 512(f), a person who knowingly and materially misrepresents that material is infringing, or that material was removed or disabled by mistake or misidentification, may be liable for the resulting damages, including costs and attorneys' fees, incurred by the alleged infringer, by the copyright owner or by us. If you are not sure whether material infringes your rights, or whether your use is authorized, consider taking legal advice before sending a notice or a counter-notification.
9. Changes to this policy
We may update this policy. The current version is always posted on this page, and the last updated date appears at the top. Where this policy and section 4.5 of the Terms of Service differ, section 4.5 governs.
